Terms of Service

These Terms form a legally binding contract between you (Subscriber, User, or Business) and RevIQ Inc. By creating an account, accessing the dashboard, or using any part of the Service, you agree to this Agreement.

Service description
The short version
RevIQ is software. We send text messages on behalf of local businesses. We don’t own the phone network, the AI model, or the payment processor — we sit on top of them.
RevIQ provides a software platform that automates customer communication, AI-generated interactions, and review management workflows (“Review Sequencing”). RevIQ operates as an Independent Software Vendor (ISV) and registered messaging platform that sends SMS text messages on behalf of subscribing local businesses (“Subscribers”). When you opt-in at a business location, you consent to receive messages from that specific business, delivered through RevIQ’s messaging infrastructure. RevIQ is strictly a software interface and does not provide telephone carrier services, financial processing, or AI model development.
Third-party services & disclaimers
The short version
We rely on Twilio for SMS, Google Gemini for AI, and Stripe for billing. If one of those vendors has an outage or filters a message, that’s outside our control.
RevIQ integrates multiple external vendors. You acknowledge that:
- Telephony (Twilio):SMS messaging, phone numbers, and delivery infrastructure are provided entirely by Twilio and downstream carriers. RevIQ is not responsible for blocking, filtering, queue delays, “message not delivered” events, or fines imposed by carriers or The Campaign Registry.
- Artificial Intelligence (Google Gemini):All AI-generated content comes from Google’s Gemini models. RevIQ does not control model behavior, accuracy, tone, or content. You assume all responsibility for reviewing AI-generated text before relying on it.
- Payments (Stripe): All subscription billing and payment processing are managed by Stripe. RevIQ does not store or handle credit card information.
RevIQ disclaims all liability arising from outages, rate limits, API failures, account restrictions, or policy violations from any third-party provider.
Web scraping & public data:Certain features (“God Mode” or “Universal Scraper”) allow you to access public data from third-party sites (e.g., Google Maps, Yelp). You acknowledge that RevIQ acts solely as a data processing tool at your direction. You are responsible for ensuring your use of this data complies with the terms of service of source platforms. RevIQ disclaims liability for any blocks, bans, or legal action resulting from your excessive or unauthorized scraping activities.
Data ownership & permissions
The short version
Your customer data is yours. We use it to send the messages you asked for, power AI replies, keep the system running, and help you when something breaks. We never sell it.
You retain all rights to the customer data you upload or generate within the platform. By using the Service, you grant RevIQ a limited, revocable, non-exclusive license to process your data solely for:
- sending messages on your behalf,
- generating AI responses,
- improving system performance,
- providing support and diagnostics.
RevIQ will never sell or re-share your customer data.
Acceptable use & compliance
The short version
You are the legal “Sender”. You need consent before you text anyone. No SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco). Don’t spam. “Unlimited” plans have a fair-use ceiling.
4.1 Consent requirements. You certify that you have obtained valid written consent from all customers before messaging them through RevIQ. You are the legal “Sender” under the TCPA and equivalent international laws.
4.2 Prohibited categories (SHAFT). Mobile carriers prohibit content related to Sex, Hate, Alcohol, Firearms, and Tobacco. Sending such content may result in immediate suspension of your account and the loss of your phone numbers.
4.3 Harassment & spam. RevIQ may suspend or terminate accounts that generate excessive opt-outs, complaints, fraudulent activity, or abusive messaging patterns.
4.4 Compliance responsibility. You agree to comply with all carrier rules, including The Campaign Registry, CTIA guidelines, and international anti-spam laws.
4.5 Fair use (unlimited plans). Plans marketed as “Unlimited” are subject to fair use to prevent abuse, automated spamming, or activity that degrades system performance for others. “Unlimited” refers to manual, human-speed interaction or reasonable automated workflows. RevIQ reserves the right to throttle or suspend accounts sending excessive volumes (e.g., >3,000 separate outbound messages/day) or exhibiting bot-like behavior that mimics spam broadcasting.
SMS messaging terms
The short version
By checking in, you agreed to receive visit follow-ups and the occasional offer. Reply STOP to stop. Reply HELP for help. Phone numbers are never shared with third parties.
By providing your phone number via our check-in system, you consent to receive automated text messages including visit follow-ups, satisfaction surveys, review requests, promotional offers, and periodic promotional announcements about business events, specials, and exclusive offers. Messages are sent by RevIQ on behalf of the subscribing business.
- Message frequency: Message frequency varies based on visit activity.
- Cost: Message and data rates may apply.
- Opt-out: Reply STOP to any message to unsubscribe. You will receive a confirmation and no further messages.
- Help: Reply HELP for assistance, or email support@appreviq.com.
- No third-party sharing: Phone numbers and SMS opt-in data will not be shared with third parties for marketing or promotional purposes.
- Carrier liability: Carriers are not liable for delayed or undelivered messages.
Subscription, billing & cancellation
The short version
Auto-renews through Stripe. Cancel any time from the dashboard. No partial-period refunds. Billing is by segment (160 characters of SMS). Inbound and outbound both count.
- Recurring billing: Your subscription renews automatically via Stripe.
- Cancellation: You may cancel anytime via the dashboard. No refunds for partial billing periods.
- Price changes: RevIQ may adjust pricing with 30 days’ notice, typically due to changes from carriers or AI model pricing.
6.2 Segment-based billing. Usage is measured in segments, not messages. A segment is a single unit of SMS carrier capacity. Standard SMS messages (GSM encoding) allow up to 160 characters per segment. Messages containing special characters, accented letters, or emoji use UCS-2 encoding, which limits each segment to 70 characters. A single message may therefore consume multiple segments depending on its length and encoding. Both inbound and outbound messages count toward your segment quota, as carrier fees apply in both directions. Segment counts are determined by the carrier at time of transmission and cannot be retroactively adjusted.
Service availability & no warranty
The short version
The service is provided as-is. Carriers may filter messages. The AI may produce imperfect text. Outages happen. We don’t guarantee perfection.
The Service is provided on an “as is” and “as available” basis. RevIQ does not guarantee uninterrupted uptime, perfect message delivery, AI accuracy, or error-free functionality. You acknowledge that:
- carriers may filter or block messages,
- AI systems may generate inaccurate or harmful content,
- API outages may occur without notice,
- system performance may depend on external vendors.
Limitation of liability
The short version
If something goes wrong, our total liability to you is capped at the fees you paid us in the last 3 months. We are not liable for indirect damages like lost revenue.
To the fullest extent permitted by law, RevIQ Inc. shall not be liable for indirect, special, incidental, or consequential damages, including lost revenue, lost reputation, or costs arising from undelivered messages or AI behavior.
Our total liability for any claim shall not exceed the subscription fees paid by you in the preceding three (3) months.
Indemnification
The short version
If you break TCPA, carrier rules, or send content you shouldn’t have, and someone sues us, you pay the legal costs — not us.
You agree to indemnify and hold harmless RevIQ and its officers, employees, and partners from any claims, fines, damages, or legal expenses arising from:
- TCPA violations,
- carrier rule violations,
- misuse of AI-generated content,
- your breach of this Agreement.
Arbitration & governing law
The short version
Disputes go to individual arbitration, not a courtroom. No class actions. Florida law applies.
Any dispute arising from this Agreement will be resolved through binding individual arbitration administered by the American Arbitration Association. Class actions and class arbitrations are expressly prohibited.
This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Modifications
The short version
We may update these terms. If you keep using the service after we publish updates, that counts as acceptance.
RevIQ may update these Terms at any time. Continued use of the Service after changes are published constitutes acceptance of the updated Terms.
